What a commercial registration is and when you need it
A commercial registration is the official record of any sole establishment or company trading in Saudi Arabia, and most of a business's government files cannot be opened without it. Once it is issued, the establishment can be registered on Qiwa, with ZATCA, GOSI and Muqeem, and the CR is requested when opening a bank account and applying for a municipal licence for a shop or office.
You need a CR if you are a Saudi starting a sole establishment, partners forming a limited liability company, or a foreign investor who already holds a Ministry of Investment licence. If you have not yet chosen the entity type, decide that first, because an establishment and a company differ in documents, fees and liability.
What changed under the new Commercial Registration Law
The main change in the Commercial Registration Law that took effect on 3 April 2025 is that a CR is no longer renewed at an expiry date as before: Article 11 of the law requires the trader to submit an annual confirmation of the registered data, due according to the CR's registration date. What used to be called CR renewal is now an annual duty to confirm the registered data: the owner reviews the record, updates anything that has changed and confirms it on time.
Missing the confirmation has clear consequences. Under Article 15 of the law, the registrar suspends the CR if the annual confirmation is not filed within 90 days of its due date, after warning the trader that suspension will take effect 14 days from the warning. The suspension lasts one year, during which it can be lifted by filing the confirmation and paying the fee and fine; if the year passes without that, the CR is struck off. Failing to file the annual confirmation can also bring a fine of 500 to 10,000 SAR, and a suspended CR blocks the establishment's other transactions, such as issuing visas and renewing iqamas.
If your CR was issued before April 2025, check the annual confirmation date in your Saudi Business Center account rather than relying on the old expiry date printed on the certificate.
Documents and information required
Most requirements are data entered online rather than paper documents, but they should be ready before you start so the application does not stall halfway:
- IDs of the owner or partners and managers, with an active National Single Sign-On (Nafath) account for whoever signs the application.
- The proposed trade name plus two alternatives, since names are checked before they can be reserved.
- The business activities, chosen from the Ministry of Commerce's approved activity guide.
- The establishment's national address and contact details.
- Capital and each partner's share, plus articles of association for companies.
- A Ministry of Investment licence if any owner is a foreign investor.
- A valid delegation or power of attorney if someone else will complete the transaction for the owner.
Steps to issue a CR on the Saudi Business Center
Every step is online, and most delays come from a rejected trade name or an activity that needs another authority's approval:
Sign in and choose the entity
The owner signs in through Nafath and selects a sole establishment or the required company type.
Reserve the trade name
The proposed name is entered and checked against trade name rules before it is reserved.
Select activities and address
Activities are chosen from the approved guide, and the national address and capital are added.
Articles of association for companies
For companies, the articles are prepared and signed electronically by the partners.
Pay the fees
Government fees are paid by SADAD bill, and the CR is issued online once paid and approved.
Post-CR registrations
Chamber of Commerce subscription where required, then the establishment files on Qiwa, ZATCA, GOSI, Muqeem and the municipal licence.
Amending a commercial registration
A CR is amended from the same Saudi Business Center account, and an amendment usually completes within 1 to 2 working days. Common amendments include adding or removing an activity, changing the national address or trade name, changing capital and replacing the manager.
Changes that affect partners, their shares or a company's capital require an amendment to the articles of association and the partners' approval before the CR is updated. After any significant change, check that it is reflected with linked bodies such as Qiwa, ZATCA and GOSI so conflicting records do not cause problems later. It is also best to make any needed amendment before the annual confirmation date, so the CR is confirmed with correct data the first time.
Commercial registration fees and timing
The implementing regulations of the Commercial Registration Law set the fees for CR services, and the amount depends on the entity type (sole establishment or company) and linked services; it appears on the SADAD bill before payment.
